Terms of use

These terms cover two things: how you may use this website, and the basic conditions on which Quiet Cloud Rise works with clients. They are short on purpose. Using the site means you accept the parts that concern the site; engaging us means you accept the parts that concern engagements, together with the written scope we agree for your case.

Who we are

Quiet Cloud Rise is an independent consultancy at 〒840-0801 佐賀県佐賀市駅前中央2丁目6-15. We help small and mid-size organisations with organisational diagnostics, strategy facilitation days, a quarterly advisory retainer, document and process audits and team communication workshops. The business details required by the Act on Specified Commercial Transactions are on our commercial disclosure page.

What the site is for

The pages and articles here are an introduction to how we think and work. They are general commentary, not legal, tax, accounting or employment advice, and they are not written for your particular organisation. Please do not take a decision on the strength of an article alone; if the matter is important, talk to us or to a qualified adviser who knows your situation.

Ownership and permitted use

The text of this site belongs to Quiet Cloud Rise. You are welcome to read it, link to it and quote short passages with a clear credit and a link back. Republishing longer parts, or using them commercially, needs our written consent.

The photographs are licensed for use on this site and remain the property of their rights holders, so please do not copy them. The Quiet Cloud Rise name and logo are ours.

Fees shown on the site

Fees on the home page are in Japanese yen and show the usual price of each service: the organisational diagnostic, strategy facilitation by the day, the quarterly advisory retainer, the document and process audit and the team communication workshop. They are a guide. The price that applies to you is the one in the written scope proposal, which also says how consumption tax is treated.

How an engagement begins

Nothing on this site is an offer that binds either side. An engagement begins like this: we talk for about thirty minutes, which costs nothing; we send a short written scope proposal within five business days; and the engagement is formed when you accept that proposal in writing. A start date is then set according to both calendars, usually two to four weeks later.

Payment

Payment is by bank transfer to the account shown on the invoice. Invoices are issued in Japanese and state the due date. For engagements above ¥300,000 we normally split payment in two: fifty percent at the start and fifty percent when the final document is delivered. Other arrangements can be agreed during scoping. Transfer fees are paid by the client.

Cancellation and rescheduling

For facilitation sessions, a cancellation made more than ten business days before the scheduled date is refunded in full. A cancellation within ten business days is charged at fifty percent. Rescheduling is handled case by case and is usually free of charge when we are given reasonable notice.

For other services, the cancellation terms are the ones written in the scope proposal. If we have to cancel or move a session ourselves, we will offer you a new date, or a full refund of the amount paid for that session if no new date suits you.

What we expect from you

Good work depends on access. We expect you to give us timely access to the people and documents the scope names, to tell us honestly where things stand, and to tell us at once if something changes, such as a reorganisation or a change in the person we work with. Decisions about your organisation always stay with you.

Confidentiality

We treat what you tell us and what you show us as confidential, use it only for your engagement, and do not name you as a client without asking. A written confidentiality agreement is available before any documents are exchanged. This duty continues after the engagement ends.

No promise of results

Our recommendations are advice. Whether a new meeting format or a decision map changes how your organisation works depends on how it is adopted, and we cannot promise a particular outcome. What we do promise is careful work, a written output you keep and honest advice, including when the honest advice is that you do not need us.

Deliverables

The written output of an engagement, such as a diagnostic report or a meeting format, is yours to use inside your organisation. The general methods, questions and templates we use in all our work remain ours and may be used again with other clients, without any of your information.

Limits of responsibility

We are responsible for the content of this site and for our work to the extent Japanese law requires, and no further. We are not liable for the content of sites we link to, or for decisions taken on the basis of general information published here. Nothing in these terms limits a liability that cannot lawfully be limited.

Changes to these terms

We may revise these terms when the way we work changes. The version published here is the one in force, and a change does not alter the terms of an engagement you have already accepted in writing.

Governing law and courts

These terms are governed by the laws of Japan. If a dispute cannot be settled by talking, the Saga District Court is the court of first instance with jurisdiction by agreement, to the extent the law allows such an agreement.
